1. Acceptance of Terms

By accessing and using InnoKaRa Systems' services, you accept and agree to be bound by the terms and provision of this agreement. These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client") and InnoKaRa Systems ("Company", "we", "us", or "our").

If you do not agree to abide by the above, please do not use our services. We reserve the right to change these terms at any time, and continued use of our services after changes constitutes acceptance of the new terms.

2. Service Description

InnoKaRa Systems provides web development, software development, AI/ML solutions, and related technology consulting services. Our services include but are not limited to:

  • Custom web application development
  • Mobile application development
  • AI and Machine Learning solutions
  • Database design and implementation
  • System integration and API development
  • Technical consulting and strategy
  • Ongoing maintenance and support

3. Payment Terms

Payment Schedule

Unless otherwise agreed in writing, our standard payment terms are 50% upfront before project commencement and 50% upon project completion. For larger projects, we may establish milestone-based payment schedules.

Late Payments

Payments are due within 15 days of invoice date. Late payments may result in project suspension and may incur interest charges of 1.5% per month on overdue amounts.

Currency & Methods

All fees are quoted in USD unless otherwise specified. We accept payments via bank transfer, credit card, or other mutually agreed payment methods.

4. Project Scope and Changes

The scope of work will be clearly defined in a separate project proposal or statement of work. Any changes to the agreed scope may result in additional charges and timeline adjustments.

We will provide written estimates for any scope changes before proceeding. Client approval is required for any modifications that affect project cost or timeline.

5. Client Responsibilities

Successful project completion requires client participation. Client responsibilities include:

  • Providing necessary content, materials, and information in a timely manner
  • Reviewing and approving deliverables within agreed timeframes
  • Making payments according to the agreed schedule
  • Providing access to required systems and accounts when necessary
  • Ensuring all provided content is legally compliant and authorized for use
  • Communicating changes or concerns promptly

6. Intellectual Property Rights

Client Content

Client retains all rights to content, data, and materials provided to us. Client grants us a non-exclusive license to use such materials solely for the purpose of completing the agreed services.

Custom Development

Upon full payment, client will own the custom code and applications developed specifically for their project, excluding any pre-existing frameworks, libraries, or third-party components.

General Methodology

We retain rights to our general methodologies, know-how, skills, and techniques used in providing services.

7. Warranties and Disclaimers

We warrant that our services will be performed with reasonable skill and care. We provide a 30-day warranty period for bug fixes on delivered software, subject to the software being used as intended and in the agreed environment.

EXCEPT AS EXPRESSLY PROVIDED, ALL SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

8. Limitation of Liability

IN NO EVENT SHALL INNOKARA SYSTEMS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE.

Our total liability for any claims arising from our services shall not exceed the total amount paid by the client for the specific project in question.

9. Termination

Either party may terminate the agreement with 15 days written notice. Upon termination, client shall pay for all services performed up to the termination date.

We reserve the right to terminate immediately for non-payment, breach of terms, or if the client requests services that violate applicable laws or our ethical standards.

10. Dispute Resolution

We encourage direct communication to resolve any disputes. If a dispute cannot be resolved through discussion, both parties agree to attempt mediation before pursuing legal action.

Any legal proceedings shall be conducted in the jurisdiction where InnoKaRa Systems is registered.

11. Governing Law

These terms shall be governed by and construed in accordance with the laws of India. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts in Gujarat, India.
